An Accredited Investor is defined as a natural person with income exceeding $200,000 (or joint income with a spouse exceeding $300,000) in each of the two most recent years, with a reasonable expectation of the same income level in the current year.
An individual net worth (or joint net worth with the person’s spouse) that exceeds $1 million at the time of the purchase, excluding the value of the primary residence of such person.
Any trust, with total assets in excess of Five Million Dollars ($5,000,000), not formed for the specific purpose of acquiring the securities offered, whose purchase is directed by a sophisticated person as described in Section 506(b)(2)(ii) of Regulation D adopted under Securities Act.
Any private business development company as defined in Section 202(a)(22) of the Investment Advisors Act of 1940.
